Sebi chief Tuhin Pandey stresses responsible conduct by independent directors after HDFC Bank chairman’s sudden resignation.

Days after Atanu Chakraborty resigned as non-executive chairman of HDFC Bank, SEBI chairman Tuhin Kanta Pandey spoke on the issue. He said independent directors must act carefully and avoid making remarks without proper proof.

Chakraborty had stepped down citing concerns about ethics and values. His resignation created uncertainty among investors and the bank’s stock saw a sharp fall.

Speaking to reporters after a SEBI board meeting, Pandey said independent directors have an important role. They are expected to protect the interests of minority shareholders.

He said any concern should be raised through proper channels. Directors should place their views before the board and ensure they are recorded in official minutes.

He also said that vague statements should be avoided. There should be clarity and responsibility in such matters.

Pandey said SEBI will look into the issue and examine all aspects. He added that independent directors play a key role in maintaining transparency and investor trust.
